1. Who we are

These Terms and Conditions (the "Terms") govern your use of the doresell platform and services (the "Services"), available at doresell.com and app.doresell.com. The Services are operated by DORESELL LTD, a company registered in England and Wales under company number 17374162, with its registered office at Flat 509, 8 Victoria Mill, Lower Vickers Street, Manchester, England, M40 7NA ("doresell", "we", "us" or "our").

By creating an account, accessing the Services, or completing a purchase through a doresell checkout, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.

If you do not agree to these Terms, you must not use the Services.

2. Definitions

In these Terms:

  • "Seller" means a person or business that uses doresell to sell digital products or services to end customers.
  • "Buyer" means an end customer who purchases a Product through a doresell checkout.
  • "Product" means any digital product, online course, software, subscription or other digital service offered for sale through the Services.
  • "Transaction" means a completed purchase of a Product by a Buyer through the Services.
  • "Payout" means the amounts payable by doresell to a Seller in respect of Transactions, net of Fees, refunds, chargebacks and applicable taxes.
  • "Fees" means the amounts payable to doresell as set out in Section 7.

3. The merchant of record model

doresell acts as the merchant of record (a reseller) for Products sold through the Services. When a Buyer completes a purchase, the Seller sells the Product to doresell, and doresell simultaneously resells it to the Buyer. The contract of sale for the Transaction is between doresell and the Buyer; doresell appears on the Buyer's payment statement, issues the invoice or receipt, and is responsible for collecting and remitting applicable transaction taxes.

The Seller remains solely responsible for the Product itself: its content, quality, legality, delivery, performance, marketing claims and ongoing support. doresell does not create, review, endorse or guarantee any Product.

Nothing in these Terms transfers any intellectual property in a Product to doresell beyond the limited rights necessary to operate the Services and resell the Product to Buyers.

4. Seller accounts and eligibility

To sell through doresell you must register for an account at app.doresell.com, provide accurate and complete information, and keep it up to date. You must be at least 18 years old and legally able to enter into contracts.

We are required to conduct identity and business verification ("know your customer") checks before or after activating your account, and periodically thereafter. You agree to provide the documents and information we reasonably request. We may decline, suspend or close an account at our discretion, including where required by our payment partners, card scheme rules or applicable law.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

5. Acceptable use and prohibited products

The Services may only be used to sell lawful digital products and services. Without limitation, you may not use the Services to sell or promote:

  • Products that are illegal in the Seller's or Buyer's jurisdiction, or that require a licence the Seller does not hold
  • Content that infringes intellectual property rights of any third party
  • Products making false, deceptive or unsubstantiated claims, including guaranteed-income or get-rich-quick schemes
  • Malware, hacking tools intended for unauthorised access, or services facilitating fraud
  • Adult content, gambling, weapons, drugs or other categories restricted by our payment partners
  • Financial products, securities, or investment advice requiring regulatory authorisation
  • Anything intended to launder money, evade sanctions or finance terrorism

6. Transactions, delivery and Buyer terms

For each Transaction, doresell is the seller of record to the Buyer, and the sale to the Buyer is additionally governed by our Buyer Terms, published at doresell.com/buyer-terms. Buyers receive an order confirmation and invoice or receipt from doresell. The Seller must deliver the Product, or provide access to it, promptly after the Transaction completes, and must honour the Product description, licence terms and refund policy displayed at checkout.

Buyers contract with doresell for the purchase itself, but licence terms, warranties and support obligations for the Product are between the Buyer and the Seller. To the extent permitted by law, doresell passes through to the Buyer the benefit of the Seller's Product terms.

Nothing in these Terms limits any non-waivable statutory rights of consumers, including rights under UK and EU consumer protection law.

7. Fees

doresell charges a fee of 3.9% + $0.35 (or the displayed equivalent in the Transaction currency) per successful order. The fee is deducted from Transaction proceeds before Payout. There are no monthly fees, setup fees or charges for tax calculation, remittance or filing.

Each chargeback is subject to a chargeback fee of $30, €25 or £25, depending on the currency of your Payouts. The chargeback fee applies regardless of the dispute outcome and is deducted from your Payout balance.

When a Transaction is refunded, the percentage portion of the fee for that Transaction is returned to the Seller's balance; the fixed per-order portion is not. We may update our Fees on 30 days' notice; continued use of the Services after the notice period constitutes acceptance.

8. Payouts

doresell pays Sellers on a net-15 schedule, in the Seller's chosen payout currency, net of Fees, refunds, chargebacks, reserves and applicable taxes. Each Payout is accompanied by a reconciliation report itemising Transactions, taxes, Fees and adjustments.

We may withhold or delay Payouts, or maintain a rolling reserve, where we reasonably consider it necessary to cover anticipated refunds, chargebacks, fraud risk or legal obligations, or where an account is under review. We will inform you when a reserve is applied and release it when the underlying risk has passed.

You are responsible for any taxes on your own income from Payouts. doresell is responsible for transaction taxes (such as VAT, GST and sales tax) on sales made to Buyers as merchant of record.

9. Refunds and chargebacks

Refund policies are set per Product by the Seller within the limits we allow and applicable consumer law. doresell may issue a refund on a Seller's behalf where the Seller's stated policy requires it, where applicable law requires it, or where we reasonably determine that a refund is necessary to resolve a dispute, prevent a chargeback, or comply with card scheme rules.

Refunded and charged-back amounts, together with any applicable fees, are deducted from the Seller's balance or future Payouts. If a balance is negative, the Seller must pay the shortfall within 14 days of demand.

doresell manages chargeback representment on the Seller's behalf. The Seller agrees to provide evidence relating to a disputed Transaction (delivery logs, access records, communications) promptly on request.

10. Taxes

As merchant of record, doresell determines, collects and remits transaction taxes on sales to Buyers under its own registrations, based on the Buyer's location and applicable law. Sellers must not separately charge Buyers transaction taxes on sales made through the Services.

Sellers are responsible for their own income tax, corporation tax and any other taxes arising from their business, and for providing us with accurate tax-related information (including valid VAT or tax identification numbers where relevant).

11. Intellectual property and licence

The Seller retains all rights in its Products. The Seller grants doresell a non-exclusive, worldwide licence to host, display, market, resell and deliver the Product to Buyers, and to use the Seller's name, logo and Product imagery for operating the Services and for reasonable promotion of the platform.

The doresell name, logo, website, software and documentation are the property of DORESELL LTD or its licensors. You may not copy, modify, reverse engineer or create derivative works of the Services except as permitted by law.

12. Data protection

Each party will comply with applicable data protection law, including the UK GDPR and EU GDPR, in respect of personal data processed in connection with the Services. Our collection and use of personal data is described in our Privacy Policy at doresell.com/privacy.

For Transaction data, doresell acts as an independent controller in its capacity as merchant of record. Where doresell shares Buyer data with a Seller for delivery and support purposes, the Seller acts as an independent controller of that data and must process it lawfully, securely and only for purposes connected to the Product.

13. Warranties and disclaimers

Each Seller warrants that it has all rights necessary to sell its Products, that Products and their marketing comply with applicable law, and that Products do not infringe third-party rights.

The Services are provided "as is" and "as available". To the maximum extent permitted by law, doresell disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, although we work hard to keep them so.

14. Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded under applicable law.

Subject to the foregoing, doresell's total aggregate liability to a Seller arising out of or in connection with the Services in any 12-month period is limited to the total Fees paid by that Seller to doresell in that period. doresell is not liable for loss of profits, loss of business, loss of data, or any indirect or consequential loss.

The Seller will indemnify doresell against claims, losses and costs (including reasonable legal fees) arising from the Seller's Products, the Seller's breach of these Terms, or the Seller's violation of applicable law or third-party rights.

15. Suspension and termination

A Seller may close its account at any time from the dashboard or by emailing contact@doresell.com. We may suspend or terminate an account, or remove a Product, immediately where we reasonably believe these Terms have been breached, where required by law or our payment partners, or where continued service creates unacceptable risk.

On termination we will pay out any remaining positive balance in accordance with the normal Payout schedule, after deducting amounts reasonably reserved for refunds and chargebacks for up to 180 days. Sections that by their nature should survive termination (including Fees owed, indemnities, liability limits and governing law) survive.

16. Changes to these Terms

We may amend these Terms from time to time. For material changes affecting Sellers, we will give at least 30 days' notice by email or dashboard notification. Continued use of the Services after changes take effect constitutes acceptance. The date of the latest revision is shown at the top of this page.

17. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that consumers resident elsewhere retain any protection and jurisdiction rights granted by mandatory local law.
